1. About these Terms

These NexTrade360 AI Connector Terms of Use (“Terms”) govern authorized use of the NexTrade360 Model Context Protocol integration (the “Integration”) provided by Red Leaf Software LLC (“Red Leaf Software,” “NexTrade360,” “we,” “us,” or “our”).

“Customer” means the barter exchange or other organization whose NexTrade360 environment you select. “User” or “you” means an individual whom that Customer has authorized to use its environment. “AI Service” means ChatGPT or another supported artificial-intelligence service through which a User accesses the Integration. “Selected Exchange” means the Customer environment the User chooses while connecting the Integration.

2. Authority and eligibility

The Integration is intended for authorized business users of a participating NexTrade360 Customer. By connecting or using it, you represent that you are authorized to act for the Customer, access the Selected Exchange, and request the data or actions you submit. You must use only your own authorized account and comply with the Customer’s policies, permissions, and instructions.

Customer administrators remain responsible for granting and removing NexTrade360 access, assigning appropriate roles, and deciding whether Users may use the Integration for Customer work.

3. Integration capabilities

The Integration routes authorized tool requests between the AI Service and the Selected Exchange. Depending on the Customer’s configuration, your role, and record state, available requests may include:

• retrieving exchange context, member summaries, reports, and operational workflow information;
• searching authorized member and prospect records;
• analyzing member health, credit risk, staff performance, or potential trade opportunities using authorized report data;
• creating internal member notes and assigned tasks; and
• creating short-lived links to authorized report exports.

The Selected Exchange enforces feature availability, record access, and User permissions for every request. A tool appearing in an AI Service does not mean that a particular action is enabled or authorized for you.

The Integration does not execute or authorize payments, money transfers, barter transactions, trade-credit transfers, purchases or sales, cryptocurrency transfers, or investment or securities trades.

4. Authentication and access

You select your exchange and sign in on that exchange’s website. The NexTrade360 connection page does not ask for your exchange password. The Integration uses separate authorization tokens to connect the AI Service to the broker and the broker to the Selected Exchange. You must not share credentials, authorization codes, tokens, or multi-factor authentication values.

The Integration acts only within the scopes and permissions granted during authorization. You should disconnect the Integration promptly if your device, AI Service account, or NexTrade360 account may be compromised, or if you no longer need access.

5. Your responsibilities and acceptable use

You agree to:

• use the Integration only for lawful, authorized Customer business;
• review the Selected Exchange, requested action, record, and entered values before asking the AI Service to create a note, task, export, or other consequential result;
• respect Customer confidentiality, data-handling, and access policies;
• not probe, disrupt, overload, reverse engineer, bypass access controls, or attempt to reach another Customer’s environment;
• not misrepresent your identity, authority, or the source or meaning of a request; and
• notify the Customer and NexTrade360 support promptly about suspected unauthorized access or a security issue.

Do not enter passwords, one-time codes, OAuth tokens or codes, private keys, full payment-card numbers, bank credentials, Social Security numbers, tax identification numbers, or other government-issued identifiers into a general AI conversation or Integration tool request. Use only the designated secure NexTrade360 workflow for data that requires special handling.

6. Data and privacy

At your direction, tool requests and results pass among the AI Service, the NexTrade360 broker, and the Selected Exchange. This may include Customer business data and personal data that you are authorized to access. The Customer determines how its exchange data may be used, and you must not request or disclose more data than is reasonably necessary for the task.

The broker also processes authorization records, encrypted connection credentials, selected-exchange identity, opaque connection and correlation identifiers, tool names, timestamps, outcomes, error categories, latency, and message-size information to provide, secure, diagnose, and measure the Integration. Its operational telemetry is designed not to store raw prompts, raw tool arguments, raw tool results, or login credentials.

7. AI-generated output and professional judgment

AI-generated summaries, analyses, recommendations, and other responses can be incomplete, inaccurate, or inappropriate for a particular situation. Verify important information against the Selected Exchange’s source records and apply qualified human judgment before acting. Do not use an AI-generated response as the sole basis for a decision that materially affects a person’s rights, eligibility, credit, employment, or access to services.

The Integration and AI-generated responses are not legal, tax, accounting, financial, credit, investment, or other professional advice. Reports and workflow suggestions are operational aids; consult an appropriately qualified professional when advice is required.

8. Third-party services

ChatGPT and other AI Services are operated by independent third parties. Their availability, models, interfaces, data handling, and terms are controlled by their providers. Your use of an AI Service is subject to your agreement with that provider. Red Leaf Software does not control or endorse third-party output merely because the Integration makes NexTrade360 tools available through that service.

Customer exchange environments may also use third-party services under the Customer’s direction. Links or interoperability do not transfer responsibility for those services to Red Leaf Software except as stated in the License Agreement.

9. Availability and changes to the Integration

Integration availability depends on the AI Service, internet and hosting services, the broker, and the Selected Exchange. Features may vary by Customer configuration, permissions, maintenance, security controls, and product updates. We may modify, limit, or discontinue Integration features consistent with the Customer Agreement, security needs, law, or third-party platform changes.

10. Intellectual property

NexTrade360, the Integration, related software, documentation, branding, and service technology are owned by Red Leaf Software or its licensors and are protected by applicable intellectual property laws. The License Agreement grants the applicable rights to use them. These Terms grant no additional license.

Rights in Customer data and content remain governed by the License Agreement, Customer policies, and applicable law. Submitting data through the Integration does not transfer ownership of that data to Red Leaf Software.

11. Suspension and disconnection

We or the Customer may suspend or terminate Integration access to address suspected misuse, security risk, legal requirements, third-party platform changes, or a violation of these Terms or the License Agreement. The Customer may also remove or change your underlying NexTrade360 permissions at any time.

You may disconnect the Integration through the AI Service and may contact the Customer or NexTrade360 AI Connector support for help. On disconnection, the broker invalidates the related broker access and removes its stored downstream credential material. Where the Selected Exchange supports token revocation, the broker also makes a bounded, best-effort revocation request. Limited records may be retained as described in the Privacy Policy, License Agreement, backup practices, or applicable law.

12. Warranties, remedies, and liability

The warranties, service commitments, disclaimers, remedies, indemnities, and limitations of liability that apply to the Integration are those in the License Agreement. These Terms do not expand or reduce those provisions except where they expressly say otherwise or applicable law requires a different result.

13. Changes to these Terms

We may update these Terms to reflect changes to the Integration, security requirements, law, or third-party services. We will post the updated Terms and effective date at this location and provide any additional notice required by the License Agreement or law.
